Here is one from last month: Q: How can our board ratify decisions made outside of board meetings? A: In many jurisdictions, boards are mandated to conduct business only during formal meetings, where members can communicate live and in real time. This means that any decisions made outside these meetings, even those documented in writing (such as via email), need to be ratified at the next official board meeting to be valid. To ratify these decisions, you should include them on the agenda of your next meeting. You can ratify them through a formal motion or, for smaller boards, by casual agreement. Regardless of the method, the ratification should be explicitly documented in the meeting minutes, as these serve as the official record.
