As a proud supporter of the Choose Life Foundation, we are delighted to share highlights from the “Gefyres Zois 2” event, which took place a few weeks ago at the Athens College Theater under the patronage of the President of the Hellenic Republic.   Co-organized by Choose Life, KEDMOP – Χάρισε Ζωή, and ΦΛΟΓΑ , this moving event honored the incredibly brave volunteer donors who generously donated bone marrow to save the lives of strangers in need. On this National Day for Organ Donation and Transplantation, we reinforce our dedication in raising awareness for this life-giving cause. The Organmeetings program by the ONASSIS FOUNDATION, with the scientific guidance of the Hellenic Transplant Organization and in collaboration with the Onassis Cardiac Surgery Center, provides a meaningful way for groups to actively engage in promoting organ donation. Maria showcased the latest enforcement trends in relation to FDI and FSR, highlighting the most critical issues arising from their implementation and the interaction with the parallel EU and national merger control enforcement. We are pleased to announce that our firm advised General Logistics Systems B.V. (GLS), a subsidiary of International Distribution Services plc (IDS), one of the largest parcel services providers in Europe with operations also in North America, on its recent acquisition of a 20% stake in ACS Courier and Postal Services from Quest Holdings SA for €74 million. As part of the transaction, GLS also secured a call option to acquire the remaining 80% of ACS’s share capital within the next two years for a consideration of €296 million.   GLS’ legal team consisted of Lars Gebauer, general counsel GLS Group and Dr. Marcel Gellings, assistant general counsel GLS Group, whom we thank for the excellent collaboration.   Our core team consisted of our partner Catherine Karatzas, senior counsel Nikolaos Zachos, and senior associate Olga Vinieri. Karatzas and Partners acted as issuer’s Greek legal counsel to Metlen Energy & Metals S.A. in connection with its green bond offering of €750 million of 4% senior notes due 2029, an increase from the originally proposed €500 million.   Metlen intends to use the proceeds from the offering primarily to redeem in full Mytilineos Financial Partners S.A.’s €500 million senior notes due 2024 (2024 Notes). Karatzas & Partners advised Cenergy Holdings S.A. in connection with its €200 million share capital increase, through a non-preemptive issue of 22,222,222 new, ordinary, voting shares at an offer price of €9.00 per share.   This pivotal transaction, which involved a combined offering comprising of an institutional offering and retail offers in Belgium and Greece, was oversubscribed and the total demand of the offering exceeded 65,000,000 new shares. The proceeds will primarily be used for the financing of the first phase of the Group’s planned construction of a cable manufacturing facility in Baltimore, Maryland, USA.
