Deheng ARKO’s Litigation, & Dispute Resolution team, led by Michel RAKO and supported by Associate Krisna Murti Ardianto, successfully assisted Apryse in resolving a complex Intellectual Property dispute involving open-source (copyleft) software. The case involved unauthorized commercial use of third-party software by a Private Bank, a State-Owned Bank, and a Public Listed Company, leading to a legal conflict over ownership and usage rights. Given the banks’ extensive customer networks, legal compliance was critical. Our client faced challenges enforcing its rights internationally. Our firm represented the client in an out-of-court settlement process, and displayed an outstanding negotiation ability, in order to solve this case swiftly and precisely, ensuring mutually-beneficial agreement for the involved parties. As companies expand, they often turn to Rights Issues—a process where new shares are issued to existing shareholders, offering them a chance to maintain their ownership stake. This is one of the key strategies for raising funds while keeping the financial structure intact. In Indonesia, a Rights Issue follows the Pre-Emptive Rights (HMETD) mechanism, ensuring that existing shareholders are prioritized when new shares are issued. 🔹 Capital Increase with HMETD: Public companies offer new shares to existing shareholders based on their ownership ratio. 🔹 Capital Increase Without HMETD: Applicable in specific cases like financial restructuring or share ownership programs. 🔹 Regulatory Compliance: Companies must secure GMS approval, submit a registration statement to OJK, and ensure transparency in disclosure.
