This Letter includes specific actions which not only MiFID firms but also credit institutions and fund management companies providing MiFID II services must comply with by January 2025. In light of the ongoing responsibilities of Management Companies for distribution activities this will be highly relevant to the third party manco sector in particular. The Central Bank of Ireland has announced new processes for certain filings. The changes relate to the clearance of investment managers and non-EU AIFMS as well as mergers or amalgamations of UCITS and AIFs. (Its all a long way from when I started in the funds industry and a key part of a trainees role was seeing how fast you could get to the CBI with all the paperwork before they closed for the evening !) The Central Bank of Ireland has today published its latest Markets Update, setting out some changes to funds post-authorisation processes, including notification of the closure of the SFDR Level 2 streamlined filing process in the coming weeks. Importantly, the CBI has also published details of a streamlined filing process for updates to fund names based on the requirements set out in the ESMA guidelines. The following are the high level takeaways from the independent Fitness and Probity Review: 1) Provision of #12 recommendations across three main areas of focus, covering a) Clarity of supervisory expectations around Fitness & probity, b) Internal governance regarding the Fitness & Probity process and c) Fairness, efficiency and transparency around the Fitness & Probity process. 2) The CBI is accepting all #12 recommendations of the report; 3) The CBI is establishing a new separate Fitness & Probity unit which will be enhanced with senior staff with independent decision making powers. The Fitness & Probity unit will be segregated from the CBI investigations department; 4) Establishment of structured timelines for fitness & probity reviews and approvals. 5) Implementation of ongoing annual updates to the industry and training for CBI portal users. The CBI will also encourage industry feedback through this mechanism. The above are just high level points and members should refer to the full report (link below). We would also like to take this opportunity to thank members who supplied us with feedback and suggestions that facilitated IFDA’s submission on the report.
