We are extremely pleased to announce that we have received final Namibian Competition Commission (NCC) approval for the transaction with Shanjin (formerly Yintai). Shanjin will acquire all of the outstanding common shares of Osino for cash consideration of C$1.90 for each Osino share, for a total price of C$368 million The approval from the NCC was the final outstanding approval to conclude the Arrangement. The closing of the Arrangement will occur on or before August 29, 2024.

Osino provides an update on the Yintai transaction in Namibia. The Arrangement remains on track and all closing conditions, other than the Namibian Competition Commission approval, have been met. The NCC’s merger review process continues to advance in the ordinary course and, although the NCC unfortunately did not complete its review in time for the June Board meeting, we still expect approval to be received within the timeframe prescribed by the Namibian Competition Act. Local counsel has advised that the NCC usually takes 4 to 6 months from date of submission which was April 3, 2024. Read full release ⤵

We are very pleased to announce the overwhelming support from securityholders that voted IN FAVOR of the transaction with Yintai. We are now working to obtain approvals from regulatory authorities, namely the Namibian Competition Commission, the National Development and Reform Commission of the People’s Republic of China and the State Administration of Foreign Exchange of the People’s Republic of China. Once all regulatory and court approvals are obtained, we will be able to complete the Arrangement. Yintai has obtained the approval of the Ministry of Commerce of the People’s Republic of China. The Company has a final order hearing scheduled for May 2, 2024 before the Supreme Court of British Columbia. The Arrangement remains on track to close on or about the end of H1 2024, subject to approval by the Supreme Court of British Columbia and satisfaction of certain other closing conditions. Yintai Gold execs in Namibia visit, Osino acquisition expected to be concluded in H1 Osino Resources Corp. (Osino) says its shareholders are scheduled to vote on the company's sale to Chinese mining company, Yintai Gold, in a cash deal valued at N$5.3 billion. The transaction is expected to close in the first half of 2024. I am very proud of our very own Josia Shilunga, Stellenbosch University PhD in geology candidate, who together with his "Rolling Stone" team mates from USB just won a very prestigious innovation in exploration award at PDAC, the world biggest mining conference. Very well done guys, and Osino is very proud to have significantly supported Josia in getting his PhD, which deals with the structural controls on gold mineralization at our Twin Hills gold deposit.
