Following the collapse of the household retailer BHS in 2016, the company’s liquidators commenced claims against former directors for wrongful trading and misfeasance. The High Court held that directors’ insurance cover can be taken into account when exercising discretion to impose liability for wrongful trading, but then declined to reduce directors’ contributions in line with remaining D&O policy limits so as not to encourage risk-taking or even dishonest directors. Over the coming months, SIG Lead Jonathan Booth and his team will provide insight and advice to the insurance industry, developing useful tools for claims handlers and working collaboratively with other industry professionals.
