We are a law firm leading the way in optimising how large companies create, negotiate and manage their commercial contracts. We believe that contracting should be simple and easy. We help our clients make this a reality by: - negotiating their high-volume day-to-day commercial contracts - helping optimise internal contracting processes - updating lots of contracts - supporting large outsourcing, technology and commercial deals, and - building and implementing lawtech We do this for many of the world's largest companies and banks by combining fixed pricing (to give you certainty and align our interests), applying legal judgement, design, data and process rigour, and by developing technology.

    Shorter contracts are more rigorous than long ones. I was asked recently how to persuade their risk department that it would be OK to shorten contracts. My answer was - Risk should be biting your hand off for shorter contracts: 1. Shortening the contract makes it safer as explained in this video. 2. Long contracts slow down the deal, delaying value. Since risk is in the value protection and enhancement business, they should be keen to get rid of guaranteed value erosion. 3. Shorter contracts are easier to operationalise and hence be complied with by both sides. They are therefore less likely to go wrong in practice. Hmm, there's probably another video in this.     Still not sure whether I'll win this bet with D. Casey Flaherty, but I think I'm in with a chance. GenAI is turning up everywhere, like magic fairy dust, across tech, but I don't think contracting is the best use case. We have found a number of places where it can help, I'm using it every day, but whether it really has a 5% reduction in the load on contract teams is unclear. I spelt out my thinking in a paper I link to in the comments but my arguments are: - document automation is far safer and more useful for drafting, assuming you value having consistency in your contract portfolio - it may well create more not less work in negotiating given its ability to raise points that don't add real value, but soak up time - it may help with interpreting portfolios of contracts, but that will probably increase the demand for contract interpretation (and we still need to actually do something with the output) I do think that it will help with a bunch of other activities that contract teams do - they don't spend all day just drafting, negotiating, and interpreting contracts, but in the areas that are the subject of the bet, I suspect that it will create more not less work! #PlusCaChange #IsThereAPubInAntartica #EveryoneIsWelcome

    It's time for RADICAL contracting. -Reasonable rather than maximal positions: we need to start with legal positions that both sides can live with, if we are going to get the negotiation focus on the commercials that matter. -Automated rather than manual processes: There's too much busy-work going on in contracting, and simple tools that work are still not being commonly used. -Data-driven rather than relying on folklore: When you see what is actually happening, and what actually impacts time to close, you have a fighting chance of improving your processes. -Incremental improvements rather than large-scale transformations: massive projects over-run, under-deliver, and often do little to really help. Small changes every day allow you to travel further and address the real issues. -Collaborative rather than adversarial: we are trying to create relationships, not win. -Accelerated rather than ponderous: speed matters - not only in time to close, but also time to improve. We need to get past perfectionism! -Long-term relationships rather than short-term transactions: long-term relationships create more value and reduce the need for constant contracting churn. #RADICAL #ObviousReally
