David Solomon (aka DJ D-Sol) recently made a bold claim: 𝗔𝗜 𝗰𝗮𝗻 𝗵𝗮𝗻𝗱𝗹𝗲 𝟵𝟱% 𝗼𝗳 𝗮𝗻 𝗦-𝟭 𝗽𝗿𝗼𝘀𝗽𝗲𝗰𝘁𝘂𝘀 𝗳𝗶𝗹𝗶𝗻𝗴, 𝘁𝗵𝗲 𝗱𝗼𝗰𝘂𝗺𝗲𝗻𝘁 𝗿𝗲𝗾𝘂𝗶𝗿𝗲𝗱 𝘁𝗼 𝘁𝗮𝗸𝗲 𝗮 𝗰𝗼𝗺𝗽𝗮𝗻𝘆 𝗽𝘂𝗯𝗹𝗶𝗰. But how well does that actually work in practice? Wall Street Prep’s Head of Content Andrew Federico, a former JP Morgan banker who’s taken several companies public, put this to the test—using ChatGPT, Copilot, and other AI tools to draft an S-1 from scratch. 𝗔𝗻𝗱𝗿𝗲𝘄’𝘀 𝗞𝗲𝘆 𝗧𝗮𝗸𝗲𝗮𝘄𝗮𝘆𝘀: 𝗔𝗜 𝗖𝗮𝗻 𝗞𝗶𝗰𝗸𝘀𝘁𝗮𝗿𝘁 𝗗𝗿𝗮𝗳𝘁𝗶𝗻𝗴, 𝗯𝘂𝘁 𝗛𝘂𝗺𝗮𝗻 𝗢𝘃𝗲𝗿𝘀𝗶𝗴𝗵𝘁 𝗜𝘀 𝗞𝗲𝘆 Copilot and ChatGPT can generate a structured S-1 outline and even draft sections, but they require significant iteration and review. 𝗔𝗜 𝗦𝗽𝗲𝗲𝗱𝘀 𝗨𝗽 𝘁𝗵𝗲 𝗣𝗿𝗼𝗰𝗲𝘀𝘀 𝗯𝘂𝘁 𝗦𝘁𝗿𝘂𝗴𝗴𝗹𝗲𝘀 𝘄𝗶𝘁𝗵 𝗔𝗰𝗰𝘂𝗿𝗮𝗰𝘆 Some sections, like "Use of Proceeds" and "Management Discussion & Analysis," were drafted well. Others needed extensive reworking to meet SEC standards. 𝗔𝗜 𝗔𝗹𝗼𝗻𝗲 𝗪𝗼𝗻’𝘁 𝗥𝗲𝗽𝗹𝗮𝗰𝗲 𝗝𝘂𝗻𝗶𝗼𝗿 𝗕𝗮𝗻𝗸𝗲𝗿𝘀 (𝗬𝗲𝘁) While AI tools can reduce manual drafting time, junior bankers still need to validate data, refine risk factors, and ensure regulatory compliance. 𝗙𝘂𝘁𝘂𝗿𝗲 𝗼𝗳 𝗔𝗜 𝗶𝗻 𝗜𝗕: 𝗠𝗼𝗿𝗲 𝗔𝘂𝘁𝗼𝗺𝗮𝘁𝗶𝗼𝗻, 𝗠𝗼𝗿𝗲 𝗦𝘁𝗿𝗮𝘁𝗲𝗴𝘆 As AI improves, analysts will move away from grunt work and toward higher-level deal structuring, strategic advising, and client interactions.
