Senior Corporate Counsel

The Senior Corporate Counsel is expected to perform independently and report to the Chief Financial Officer/Chief Operating Officer (CFO/COO.) As Nadel’s General In-House Senior Corporate Counsel, you will be the go-to legal expert for handling commercial and corporate legal matters.

Essential Duties & Responsibilities

  • Draft, review, and negotiate a wide range of commercial contracts (e.g., vendor agreements, partner agreements, NDAs, master services agreements, e-commerce agreements, events related agreements, work-for-hire, etc.)
  • Draft, review, and negotiate data protection, information security, and other privacy agreements, as necessary.
  • Review and negotiate lease agreements and related transactions; draft and negotiate simple lease extensions, option exercises, and other real estate agreements.
  • Review and support contract negotiations with strategic technology partners on commercial and technology matters.
  • Maintain and refine contract templates to streamline legal processes and business strategy.
  • Advise on risks and liabilities of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives.
  • Partner closely with the Sales team through the client contracting process.
  • Work intently and adequately with cross-functional groups including Sales, RFP, Vendor Relations, IT, HR, and Finance.
  • Liaise with our insurance broker for various insurance related issues.
  • Assist in the company’s acquisition activity.
  • Manage outside counsel as needs arise.

Required Skills And Experience

  • Juris Doctor (J.D.) degree and are currently a member of the bar (in good standing) in a U.S. jurisdiction.
  • Minimum of 3-5 years of combined law firm and in-house legal experience.
  • Ability to work independently to manage entire contract process including initial contact, negotiation, and execution.
  • Ability to handle a high volume of work with minimal supervision with the ability to multi-task, assess business and legal risk in a focused and efficient manner, and prioritize workload efficiently and effectively.
  • Solid understanding of privacy issues arising in the context of commercial transactional support, including GDPR and CCPA requirements and privacy policy compliance, as well as familiarity with negotiating data protection agreements.
  • Overall broad legal knowledge in areas such as corporate governance, HR, and real estate.
  • Ability to communicate effectively with management, staff, business partners and clients.

Not Required But Nice To Have

  • Experience in merger & acquisition transactions, including due diligence, document drafting and review.
  • Familiar with board and shareholder governance best practices, including board material preparation and organization.

Hours:  This is an exempt position from Monday through Friday

Location: 5820 Uplander Way, Culver City, CA 90230

Travel: No travel required

Salary Range: $175,000 - $200,000
