Last week the Federal Trade Commission has voted to ban noncompete agreements in the United States! Moreover, this applies not only to new noncompete agreements but also to existing ones. This policy is set to go into effect in August. Those of us who have employees in the US better watch out, as this could shake things up in a major way. Here's what's on my mind: 1. Job-hopping season may be back. Without noncompete clauses, keeping top talent might get trickier for some companies. They'll definitely need to up their People Ops game to keep their best people onboard. 2. With the influx of top talent entering the job market unrestricted, employers may have to reassess their Employer Value Proposition strategies. What once set them apart on the job market may no longer suffice. 3. We've got some paperwork to shuffle. Contracts and policies will need a tweak to stay on the right side of the law. Today, the FTC has officially voided all new noncompete agreements in work contracts and made existing ones unenforceable outside of senior executives. Employers are also expected to notify current and former employees that their noncompete agreements are null and void. This new rule should take effect over the next 120 days but will likely face legal pushback. Thoughts on this? Employers get ready for changes in noncompete agreements! Effective September 4th, these agreements could be banned with exceptions for certain industries (airlines, financial services, and nonprofits) and for existing agreements with “senior executives,” defined as people earning more than $151,164 annually who are in a “policy-making position." To prepare, employers should: 🚩Review current agreements and policies. 🚩Determine whether any impacted employees qualify for the “senior executive” exception. 🚩Compile a list of impacted current and former employees, with relevant contact information in order to send notices. Three months from today, the FTC's rule banning most noncompete agreements based on the argument that they are an unfair method of competition will go into effect! As of September 4, 2024, employers may not enter into new noncompete agreements or enforce noncompete agreements for any employees other than senior executives defined as those who make more than $151,164 per year and are in a position to make policy. Despite ongoing legal challenges, don't wait to take action! Employers should have all of their current noncompete agreements and clauses reviewed by legal counsel as well as the positions of the employees who signed them to determine if they are legal and enforceable. Legal counsel may be able to offer suggestions to possibly keep them enforceable in certain situations. Employers will need to provide written notification to any employees who will no longer be held to their noncompete agreement, for which the FTC provided model language. Here is the 2nd major economic development of the day! In addition to the final rule issued by the DOL this morning, we are now learning that the U.S. Federal Trade Commission (FTC) has approved a proposed FINAL RULE banning most "noncompete clauses", a move which is expected to affect approximately 20% of the US workforce as well as their employers. The rule precludes new noncompete clauses and makes all existing noncompete agreements unenforceable, except for those covering eligible senior executives. This final rule is also intended to preempt state laws which currently place limits on noncompete clauses unless those laws provide greater employee protections than the FTC rule.
