BHP and Lundin Mining Corporation (“Lundin Mining”) have agreed to jointly acquire Filo Corp. for C$33/sh with shareholders, excluding BHP and Lundin Mining, set to receive ~C$4.1bn. Filo shareholders have the option to receive cash, Lundin Mining shares or a combination. BHP will also acquire 50% of Josemaria from Lundin Mining for US$690m, after which the Filo del Sol and Josemaria projects will be incorporated into a 50:50 JV to facilitate a phased joint development. As stated previously, we believe Filo del Sol is the centre of gravity within the district due to its world class scale. When combined with the more developed Josemaria, potential synergies, operational efficiencies, economies of scale, shared infrastructure, and further exploration, the district has the potential to be a significant part of the Argentinian economy. BHP and Lundin Mining are also supporting a C$115m private placement to further exploration and support working capital prior to the deal’s close expected in Q1’25. Alongside regulatory approval, shareholder voting is needed for closing, with 35% of the 66.7% requirement having already confirmed support. ***Filo Corp News*** The Filo del Sol project is an open-pit copper, gold, and silver mine in Chile's Atacama region, owned by Filo Mining, part of the Lundin Group. The Josemaria project is a large-scale copper-gold-silver mine in Argentina, owned and operated by Lundin Mining’s subsidiary Desarrollo de Prospectos Mineros S.A. Lundin Mining acquired Josemaria in April 2022 through the purchase of Josemaria Resources Inc. ·      BHP and Lundin Mining Corporation will acquire Filo Corp. for approximately C$4.1 billion. ·      Both companies will hold a 50% stake in Filo Corp. and the Filo del Sol (FDS) copper project. ·      They will form a 50/50 joint venture for the FDS and Josemaria projects in the Vicuña district of Argentina and Chile. ·      The acquisition offers Filo Corp. shareholders a premium on their shares. ·      This partnership aligns with BHP's strategy to invest in early-stage copper projects and leverage complementary skills. ·      The joint venture aims to develop a significant copper district, benefiting from shared infrastructure and accelerated development. ·      This move shows renewed confidence in the Argentinian government. ·      The transaction is expected to close in the first quarter of 2025. ·      BHP and Lundin Mining will equally fund an interim share placement of C$115 million. ·      The share placement will support Filo Corp.'s ongoing exploration and working capital needs. We initiated coverage of Auric Mining Limited (ASX:AWJ) back in June 2021, long before the substantial market re-rating that the stock is enjoying now. AWJ maintains a portfolio of projects situated within the highly prolific Eastern Goldfields of Western Australia – comprising Jeffreys Find, Widgiemooltha and Spargoville. The company’s relatively low-risk incremental growth strategy is based upon self-sustaining development at each of its planned gold operations. AWJ’s 50% share of the net cash surplus from Stage One mining at Jeffreys Find was $4.77M, and Stage 2 has recently commenced, with 70% more tonnes expected to be mined and processed. By bringing in a 50% operating partner, AWJ has avoided the time, complexity, and costs of mobilizing equipment and hiring contractors independently, as well as eliminating the requirement for it to fund its proportionate share of working capital for the project. This has allowed to realise returns from Jeffreys Find far quicker than if it was running the project on a stand-alone basis, enabling it to take full advantage of the strong A$ gold price environment, and to build cash ahead of developing its second mining project, Munda, in late 2024/early 2025.
