IPO Alert/ 5 year anniversay!!! It is little over five years now since our Executive Chairman Torstein Sanness asked me to join Magnora ASA as its CEO in order to grow the business from its legacy history. At the end of 2023 we have close to 8.000 MW of solar PV, wind and battery projects under development in Sweden, Norway, Scotland, England and South Africa with first class customers and partners such as Commerz Real AG Hafslund Solgrid Globeleq Norfund British International Investment Nordic Solar A/S First Solar TechnipFMC, DNV Helios Nordic Energy AB AGV Renewable Energy If you had invested in Magnora during the summer of 2018 your cost price per share would have been around 2 NOK per share adjusted for dividend, return of capital and the Teekay offering. Today the share price is just shy of 30 NOK per share. On Monday, Magnora's board of directors issued a stock exchange notice in order to assign the legacy business to a separate legal entity with an expanded business and growth scope. Magnora also communicated an intention to spin off legacy business to shareholders and establish a new listed company on the Oslo Stock Exchange later this spring. The new company with its legacy assets now stand on even a much stronger foundation than what we did in 2018 - with very attractive long term growth opportunities. Magnora's management and Board believe this new entity will be a very attractive return of capital/"dividend"/liquidity event for our shareholders. Key highlights for Magnora Executive Chairman Torstein Sanness: 1) Torstein Sanness was employee number four in Saga Petroleum later acquired by Norsk Hydro. 2) Torstein Sanness was the "co-founder"/CEO for over a decade in what was Lundin Energy Norway Petroleum Norway sold last year to Aker BP ASA for 14 BN USD. As Magnora's renewable business is self financed, it is now a good time to separate the legacy business from the new business. Dozens of our shareholders have asked for this event over multiple years. Torstein and I started Magnora's renewable business with 50 MNOK in cash and a team these four persons Bård Olsen Haakon Alfstad and late Theis Hanang Pedersen in addition to the two us. With us at the Board, we have had Hilde Ådland and John Hamilton. Blackstone, an alternative asset manager, agreed to acquire SEVES, a manufacturer in electric insulation for power generation, transport and distribution, from Triton Partners, an investment firm. Great article by Alexandra Monson “Opportunities for assets to achieve sustainable outcomes go beyond using smart materials and aim to foresee their entire operational trajectory. This means assessing its environmental impact and the societal outcomes and usage over its entire lifecycle”. From a financial management and budgeting perspective it also means that focusing on upfront costs of assets and replacement is a mistake. Whole-of-asset lifecycle costs including operational and maintenance costs should also be considered in prudent decision making. Moreover, as Alex articulates, so should the environmental and social benefits be weighed. Invariably, in this way, sustainability leads to cost savings.
