Hello all, SJC Capital Partners here. Today was very volatile in the S&P markets. We saw the market rise to 5601 before falling to close at 5470. We entered positions from 5540 to 5590, but held off adding new ones as the market dropped in the afternoon. We also have put positions for downside protection, which were profitable today. Tomorrow’s Amazon and Apple earnings, along with non-farm payrolls, will likely move the markets. We’ll scale into new positions if the market rises. Enjoy your evening. IPOs are Pump & Dump schemes. Here’s why they’re ruining the American economy: The current IPO process: 1) Startup hires a banker to underwrite their deal. 2) Banker determines the "price per share” (AKA price their best clients pay before it’s listed). 3) Clients buy shares before the company is publicly available. 4) Company is publicly listed; preferred clients sell their shares. 5) Retail investors gain access to buy & sell shares. As a retail investor, you have to realize you're stuck holding the bag. After everyone else has made their money. The game is too rigged. In theory, the process could help all market players. “Earlier “ investors SHOULD be rewarded for their risk. But when you see Snowflake, Airbnb, Robinhood, Klaviyo   ↳Valuations pumped up 2-4x from announcing -> IPO. ↳The stock crash within a month. How is that not a Pump & Dump scheme? The banks are leveraging retail investors to make massive returns for their preferred clients? I’m not even really worried about fairness. Eventually:  The retail buyers will lose so much money they stop buying. Then what happens? What I’d love to know:  1) Why does underwriting even need to happen? 2) Why can’t a banker analyze the market, determine a price, and list the biz? In today's market money can be moved instantly. Companies can sell shares at a determined price via direct listing. ↳But aren’t allowed to raise more money. Why can’t we allow companies to raise money directly from all participants? ↳As soon as the company is public they can issue more equity. I believe high-growth Ents are the future of the American economy. But we need to better democratize this process. To ensure there's still a market to sell shares. #ecommerce

Most retail investors are missing out on 85% of the economy. That’s because private markets constitute that amount. It’s insane to me that most people can’t get exposure to those deals and have to deal with public markets, which deal with their own problems of concentrated risk. I’m trying to solve this through two ways: 1. Educating people online about the best ways to get started in private markets (e.g. QSBS) 2. Running OneFund, which gives retail investors access to top-tier VC and PE funds for smaller minimum capital investments People shouldn’t be missing out on 85% of the deals in our markets. I hope we’ll change that soon.

The London FTSE index is old and tired. The value of Apple alone = the total value of all listed companies on LSEG (London Stock Exchange Group) i.e. UK market. How do we get more good companies here ? Through an IPO i.e. Initial Public Offering But IPO has come to mean – It’s Probably Overpriced! London markets today are in the doldrums but this is not something new. As per the Hill report, between 2015 and 2020, London accounted for a pathetic 5% of IPOs, globally. London IS the best City in Europe and one of the best in the world. So 5% is clearly not acceptable. In fact it is frankly insulting. Anything below 40% could be seen as a failure. The UK may be leaders in ESG and Corporate Governance but if companies do not come here, the high standards cannot be implemented anyway. We must allow •      Companies to have dual class share structures •      Reassess free float requirements •      Increase Retail participation. We must RESERVE at least 30% of the issue. Yes, it is more hard work for companies and brokers but we need retail to address liquidity problem. If an IPO or fund placing is taken up by 7 institutional investors (including us!… it is NOT exactly a Public offer, is it? It becomes a Initial Private Offering We should leverage fantastic platforms such as Crowdcube for Investors, Seedrs, PrimaryBid and RetailBook led by Steven Fine of Peel Hunt and Winterflood Securities Good to see backing of Hargreaves Lansdown Media such as FTAdviser Investment Week City AM Financial Times The Times and The Telegraph must support these initiatives too. In conclusion, we must allow retail access, sorry let me edit that. We must RESERVE 30% of placings and IPOs for retail. There is certainly demand out there -- provided they are priced correctly that is. Ideas invited by all friends and participants who want the UK listed company ecosystem to thrive -- because team Sterling Investment Management certainly does. 🌟📈People are messaging me regarding SME companies so my view is very clear please 🙏 note down the points(Personal View): 1)Valuation wise many companies are trading above 30-40 P/E do not chase them blindly let it come down as there is a huge bull run already ongoing and price discounting their business models or guidance in concalls 2)There are many companies without moat going up just for SME Tag without having good earnings or management information just for liquidity 3)SME bull run started way back so we are in a mid journey so it is better to stick to few quality companies and not join the rat race just because the company is SME because I can see oversubscription in IPO of retailers is at ALL TIME HIGH that is not a good sign 4)I have taken only 6% exposure to SME and may go towards 10-12% not more than that at current stage 5)There are good companies too in SME but what important is earnings need to follow up and price should act more on earnings rather than only liquidity or smart money play 6)You can never earn when the room is crowded

Here’s an extract from a February 2022 report we published that pissed off A LOT of BNPL CEOs: “While we envisage a more sanguine future ahead for BNPL firms that can rapidly adapt their business models, it is going to be a case of ‘Buy Now, Pray Later,’ for those who fail to get it right.” In the report, we ripped the standalone BNPL business model to shreds. In fact, we predicted that most independent BNPL providers would be forced to shutter their operations unless they initiated rapid - and drastic - changes to their business models. Why? Because the unit economics of most standalone BNPL businesses didn’t make any sense. This was an unpopular (and contrarian) opinion at the time, especially vis-à-vis what our global competitors were saying. So much so that it that prevented us from winning any additonal business in the BNPL space (i.e. the firms we genuinely wanted to help did not want to work with us). In fact, in the words of one BNPL CEO (which has since flunked): “If you’re not a fan of our business model, why on earth would I want to work with you?!” So, were we right? In the 21 months following the launch of our report, it’s been a bloodbath in the BNPL industry. Countless standalone BNPL firms have closed up shop (e.g. LatitudePay and Openpay in Australia), exited markets (e.g. Atome exited from Hong Kong in April 2023), and/or entered into Liquidation (e.g. Singapore’s Pace filed for a voluntary wind down in August 2023). Those left standing have either pivoted their businesses or heavily rationalised their operations. So yes, we were right. But the point of this post is not about giving Quinlan & Associates a pat on the back. It’s about reminding people of the value of good advice (and integrity) in an environment that rewards sponsored social media influencers and advertorials. While our opinions may sometimes be unpopular and can sit in stark contrast to the views of our competitors, we are never afraid to take a position. Even if that position is likely to lose us business. As long as our views are backed up as much as possible by hard facts / data (and not speculative hypotheses), I always believe in telling our clients the unfiltered truth. Just as you’d expect from your doctor! Some interesting insights from LSEG IFR on the upcoming Arm IPO: https://lnkd.in/ewbbqDTB Arm publicly filed with the SEC late Monday for a Nasdaq IPO expected to raise US$5bn-$7bn, enabling Masayoshi Son's SoftBank to sell a roughly 10% stake in the UK-based chip designer. -    Nvidia is one of several chip players that investors will use as a comp to value Arm. -    The IPO will be all-secondary, though SoftBank is planning to sell no more 10% of the company via the IPO, bankers told IFR. -    Despite reports many of Arm’s high-profile customers will buy shares in its IPO, the filing did not explicitly say whether mega-tech customers such as Amazon.com and Alphabet or major chip vendors such as Intel, Nvidia, Qualcomm and Samsung are anchoring the deal. -    SoftBank has pledged its stake as collateral for a margin loan provided by 13 of the underwriting banks (loan is also cited as a risk factor). This arrangement bears similarities to the financing structure SoftBank previously put in place to manage its large stake in Chinese e-commerce firm Alibaba, whose US$22bn US IPO was the largest tech IPO ever. - As reported in recent days, SoftBank this month purchased a 25% stake in Arm held by its Vision Fund for US$16.1bn, implying a US$64.4bn valuation for 100% of Arm. -    Arm's filing includes more than 60 mentions of AI (but only two references to generative AI) and more than 30 references to machine learning. Apart from cellphones, the company's chips are used in data centers, PCs and auto applications. -    Arm reported net income of US$105m from revenue of US$675m in the June quarter (the latest quarter), the latter down from US$692m in the year-ago period. Despite the revenue decline, the marketing effort is expected to focus investors’ attention on non-GAAP metrics such as “annualized contract value” (ACV), a smoothed measure of Arm’s revenue. #LSEG #IFR #CapitalMarkets #IPO
