After subdelegating several investment strategies to Goldman Sachs Asset Management and BlackRock, Christian Heiberg, Head of Danske Bank Asset Management reassures clients that the in-house investment DNA is intact. “Clients have asked us what it means for our investment DNA, and we’ve tried our best to explain that of course this is a big decision, it’s a big part of our AUM, but that we still have the vast majority of our investment competencies inhouse,” Heiberg tells AMWatch. What are your tips for setting up and running Alternative Investment Funds? This is what I’ve learned having serviced around 50 Alternative Funds: Don’t over structure or over regulate. Unless you are Brookfield or Blackstone you won’t need a complex structure. An SCSp is well suited for a small number of investors (2-10) but given the lack of regulatory oversight trust must be strong Institutional investors like the EIF accept to use SCSps to save costs and conscious that in the majority of cases a fully licences third party AIFM like Adepa Global Services is appointed This gives investors comfort that a regulated entity will perform its operational and oversight duties in line with AIFMD requirements And if the Fund Manager is small, investors save Depositary costs of 30-50k/year, plus get shorter implementation times and more flexibility on investment restrictions And most importantly allows Fund Managers to benefit from the EU passport. National Private Placement regimes are difficult and often impossible to handle across EU countries Making the passport essential in most cases for distribution (unless your investor base is almost exclusively from your home country, and you’re registered there already) Remember however about the pre-marketing notification option, where before effectively registering for distribution in a country Contracting a distribution platform, paying the legal costs and getting the paperwork done You can notify the regulator by filling one form that you will do pre-marketing in a given EU country If you effectively get to the point of almost signing an investor, you can register for distribution officially If you don’t, you saved few thousand per year and quite some time Finally an eye on operations Annual Net Asset Value will lower accounting costs, the more frequent the more expensive You can still give quarterly updates with interim values you calculate yourself Your CFO or controller should shadow the NAV to be able to reconcile it That can feed interim investor reports Keep the fee structure simple. Opt for basis point fees where you can This way you calculate TER easily and you can keep it more or less constant across the lifetime of the Fund Any other tips you can think of? #funds #luxembourg #AIFs
