💡 Case Study: Successful Resolution of Complex Law Firm Dissolution 💡 THE CHALLENGE A recent engagement demonstrates Invenio LLP's versatile expertise in serving the plaintiffs' litigation marketplace. Our client was one of two partners in a prominent plaintiffs' law firm that decided it was time for a business divorce. Invenio was initially engaged to lead the valuation of the firm’s mass tort portfolio, but was soon charged with leading the mediation process and drafting all of the transactional documents necessary to effectuate the negotiated divorce. The proceedings were becoming contentious, with multiple disputes regarding a transition agreement, the interpretation of the partnership agreement, and the appropriate procedure for valuation. We were challenged to find a path that preserved value, continued vital client services in the newly-separated operations, and avoided a costly arbitration. OUR APPROACH 1. Case Valuation Expertise: Using our proprietary underwriting flow, financial modeling, and the work of litigation finance experts we trust, we were able to produce a data-driven case portfolio valuation that was both credible and favored our client. 2. Mediation Advocacy: Drawing on decades of experience in disputes and complex negotiations, we led advocacy efforts in a two-stage mediation. This involved introducing complex private credit market and finance concepts to a mediator who was unfamiliar with litigation finance and its valuation techniques. The CPR includes specific protocols for property disputes and outlines the duties and responsibilities of the parties. Pre-Action Protocol for Property Disputes: CPR Part 55: Governs possession claims, which can be relevant in property disputes. The civil litigation process for a commercial property dispute involves several stages. Each stage is designed to give both parties an opportunity to present their case and attempt resolution before proceeding to trial. Below is a detailed outline of the process: 1. Pre-Action Protocol Objective: To encourage the exchange of information and settlement of disputes without resorting to litigation. Steps: Letter Before Action: The claimant sends a letter to the defendant outlining the nature of the dispute, the facts of the case, and the remedy sought. This letter should also suggest alternative dispute resolution (ADR) methods, such as mediation or negotiation. Response: The defendant has a specified period (typically 14 days for straightforward cases) to respond, either accepting the claim, rejecting it with reasons, or requesting further information. 2. Issuing Proceedings Claim Form: If the dispute is not resolved through pre-action protocols, the claimant files a Claim Form (N1) at the appropriate court. For commercial property disputes, this is usually the County Court or the High Court, depending on the complexity and value of the claim. Claim: A detailed statement of the case, including all relevant facts, legal grounds, and the remedy sought. This must be served on the defendant along with the Claim Form. 3. Acknowledgment of Service and Defence The defendant must acknowledge receipt of the Claim Form within 14 days. The defendant then has an additional 14 days to file a Defence, outlining their response to the claim and any counterclaims. 4. Case Management Directions Questionnaire: Both parties complete this form to help the court manage the case. It includes information on witnesses, experts, and any preliminary issues. Case Management Conference (CMC): A meeting where the judge sets a timetable for the case, including deadlines for exchanging evidence, witness statements, and expert reports. 5. Disclosure and Exchange of Evidence Both parties must disclose all documents relevant to the case. Written statements from witnesses, including the parties involved, are exchanged. 6. An Introduction to Litigation Funding (Claimant’s Version). Part 3: LFAs At this point, your solicitors will put a draft LFA in front of you and say you have “no choice” but to sign it or else abandon your claims. They will also say it’s a “form document” and not up for negotiation. These are both enabling falsehoods. Remember, if you sign, the lawyers start getting paid from the funders. Actions follow incentives. At least the first drips … They want you to sign, but do you? Also, it is likely the ‘nice guy’ claimant-facing person at the funder is verbally assuring you that if the claim ends up being determined for a lower value, they’ll “work things out” because the industry “always takes care of claimants with a fair (read 40-50%) share”. This is a lie, anything not in writing is worth zero and anything in writing 50/50 at best. - Beware the budget (it’s too small, and the lawyers are ‘in charge of managing it’) - Beware personal guarantees (never, never) - Beware arbitration clauses (beware courts that favor funders, as well) - Beware security liens (ask your personal lawyer or Google it) - Beware trust clauses and undertakings (funders love injunctions) - Beware choice of lawyers clauses - Beware the offer to “help” with the claim - Beware “independent KC” clauses (who pays for barristers and why are rates for all lawyers so high?) ***Ensure that the claims remain in the claimant’s full control (more on this later) and that tampering and champerty are held at bay (hint: the part about ‘taking lawyers’ advice’ or agreeing to take KC opinions is how they push their agenda when it is not in the best interest of the claimant). Beware! This list is by no means exhaustive. Remember, funders litigate all day every day and see this all the time. The claimant does it maybe once in a lifetime, the tables are stacked against. Beware and be vigilant. Do not take any thing for granted. Open eyes 👀 Remember, funders need claims - no claims, no business. They may not need claimants but the claim is yours, so that’s the leverage (owning the IP). With the new LFA Bill, which is nothing but a value transfer from claimants to funders, Alex Chalk KC MP Harry Chancellor are trying to remove what little regulation the Supreme Court clarified was relevant in PACCAR. (How is that “access to justice”?)
