Talon Energy is pleased to confirm that the Federal Court has approved the scheme of arrangement with Strike Energy, under which Strike Energy will acquire all the shares in Talon.   A copy of the Court Orders have been lodged with the Australian Securities and Investments Commission (ASIC) this morning and it is expected that our shares will be suspended from trading on ASX at close of trading today, Thursday 14 December 2023.   We want to thank all Talon shareholders for their support throughout our company’s history, and especially their recent support of this important merger which ensures a bright future for the combined entity.   We also want to thank our talented teams who have been instrumental in building Talon into a great company while advancing our assets and delivering our priority projects to ensure this arrangement could be delivered.   We have an exciting future and we look forward to what the future will bring.   Thanks again to everyone involved at both Talon and Strike, and we wish you a very Merry Christmas and a happy and safe new year!    

Talon Energy is pleased to have signed a binding headings of agreement with JV partner, TMK Energy Limited Energy, which will see TMK retain Talon’s 33% earned interest in the Gurvantes XXXV Project in Mongolia.   The proposed transaction with TMK was considered against a potential de-merger and spin-out transaction for Talon shareholders, as a requirement of the proposed merger of Perth Basin assets with our JV partner Strike Energy via a Scheme of Arrangement, as announced in August.   Talon’s Board considers the transaction with TMK to be, on balance, superior to the de-merger and spin-out scenario due to various factors.   Talon’s Board of Directors unanimously recommend Talon shareholders to vote in favour of the proposed transaction with TMK, with each director intending to vote in favour of the proposed transaction with TMK at an extraordinary general meeting, which is expected to take place in late November 2023.   Read more in our announcement here: https://lnkd.in/gVEVXS6i

Talon Energy has transitioned from explorer to gas producer with delivery of first gas from the Walyering field into the Parmelia Gas Pipeline. Colby Hauser, Talon Energy’s Managing Director, and Chief Executive Officer commented “This is a proud moment for Talon Energy and our shareholders and is an important milestone for the business, we look forward to working with Strike Energy and supplying firm gas into our gas sales agreement with Santos Ltd”. Thanks to the tremendous work of our Talon Energy Team, project operator Strike Energy, all contractors, and suppliers, for an outstanding effort in bringing Walyering online in less than two years from discovery to production.
