YPOG recently advised Aignostics, a leading global artificial intelligence (AI) company, on its latest $34 million Series B financing round. The round was led by Athos Partners, with investments from the Mayo Clinic and growth financing from HTGF | High-Tech Gründerfonds. It also received investments from existing investors including Wellington Partners, Boehringer Ingelheim Venture Fund, CARMA FUND Management GmbH, and the VC Fonds Technologie managed by IBB Ventures. Following the closing of the latest financing round, Aignostics plans to expand its product line for biopharmaceutical clients, drive growth in the U.S market, and collaborate with Mayo Clinic to develop pioneering foundation models for pathology. The new funding will enhance Aignostics’ capabilities in target identification, translational research, and companion diagnostics (CDx), while also backing various strategic initiatives. German AIFMD 2.0 Implementation: Key Updates for Fund Managers The government draft of the Fund Market Strengthening Act (Fondsmarktstärkungsgesetz) to implement AIFMD 2.0 was published on October 11, 2024, bringing significant changes to the regulatory landscape for both fully licensed and subthreshold AIFM. The draft bill includes several amendments to the German Investment Code. Key highlights: 🔍 Loan Origination by AIF: Comprehensive changes are proposed for loan origination by AIF, focusing on risk management requirements and restrictions. A new category of "loan-originating AIF" will be subject to stricter regulations. 🔍 Delegation: Fund managers will face new compliance and reporting requirements, with the commissioning of placement agents potentially coming under the delegation rules. 🔍 Ancillary Activities: The range of ancillary services permitted for fully licensed AIFM will be significantly expanded to include all functions or activities they already perform for the AIF they manage. As things stand, this expansion does not apply to sub-threshold AIFM. 🔍 Reporting Obligations: Both fully licensed and sub-threshold AIFM will need to comply with increased reporting requirements. 🔍 Audit Obligation for EuVECA Managers: EuVECA managers will be subject to an audit obligation, regardless of any KAGB registration. 🔍 Marketing Restrictions for Third Country AIF and AIFM: New restrictions will apply when marketing third country AIF to German investors, particularly regarding the qualification of the respective third country. The necessity of an agreement with Germany that fully complies with Art. 26 of the OECD Model Tax Convention could result in restrictions for common fund jurisdictions.
