📣 We are pleased to announce the successful closing of the sale of OCI Clean Ammonia to Woodside Energy. 🤝 The transaction was valued at USD 2.35 billion on a cash free debt free basis and followed a competitive process, with USD 1,880 million paid and the remaining USD 470 million to be paid at project completion. 🏗️OCI will continue to manage the construction, commissioning, and startup of the facility through provisional acceptance and is targeting production of first ammonia from 2025 and lower carbon ammonia from 2026. 📈 The closing marks a significant milestone in OCI’s strategy to unlock value for shareholders, with expected cumulative crystallization of approximately $11.6 billion gross cash proceeds from the recently announced sales of Fertiglobe, IFCo, OCI Clean Ammonia and OCI Methanol.   Read the full story on our website here: https://lnkd.in/dF6nWtVH

📣 Today we entered into a binding equity purchase agreement for the sale of 100% of OCI Methanol to Methanex Corporation for a purchase price consideration of USD 2.05 billion on a cash free debt free basis, following a competitive process. 🤝 The Transaction Consideration will be paid through a combination of approximately USD 1.15 billion of cash (taking into account net indebtedness) and the issuance of 9.9 million of common shares of Methanex. OCI will become an approximately 13% shareholder and the second largest shareholder in Methanex following the transaction. ⏩ Methanex shares provide OCI the opportunity to participate in potential upside from the transaction such as improvements in operations of the combined business, and potential improvements in the methanol industry cycle. 📈 Cumulatively, the divestitures of Fertiglobe, Iowa Fertilizer Company, OCI Clean Ammonia, and OCI Methanol are expected to crystalize approximately USD 11.6 billion of gross proceeds for OCI, allowing considerable flexibility to unlock value for all its stakeholders. 📣 We are pleased to announce the successful completion of the sale of Iowa Fertilizer Company (IFCo) to Koch Ag & Energy Solutions, LLC (KAES). 🤝 The transaction was valued at USD 3.6 billion on a cash free debt free basis and followed a competitive process. 📈 The closing marks a significant milestone in OCI’s strategy to unlock value for shareholders, with expected cumulative crystallization of approximately $9.5 billion gross cash proceeds from the recently announced sales of Fertiglobe, IFCo and OCI Clean Ammonia. 🌱 IFCo was the first greenfield nitrogen fertilizer plant built in the United States in over 25 years, and the largest private construction project in Iowa’s history. The facility has revitalised a core industry in the United States reflecting OCI’s continued investment in the plant’s ongoing development, and in the surrounding region’s distribution and logistics infrastructure to support the Midwest’s agriculture industry. The transaction is expected to close later this year. 🏗 OCI will continue to be responsible for the construction, commissioning and successful startup of the plant and for delivering a fully staffed and operational facility by project completion. 🗺 OCI Clean Ammonia is the world’s first large-scale, low-carbon intensity hydrogen-based greenfield ammonia facility and is anticipated to meet blue ammonia specifications by any standard announced to date. It was great to see the BNEF and Climate Technology Coalition whitepaper, "Scaling Up Hydrogen: The Case For Low-Carbon Methanol" published last week. 👏 🌱 This report underscores the pivotal role that low-carbon methanol is set to play in the energy transition, accelerating clean hydrogen demand. Low-carbon methanol is a solution already available today, not only for the decarbonization of the chemicals market, but also as the most readily available option for the shipping sector to reduce its emissions. With EU regulations and the International Maritime Organization's net-zero goals driving the shipping sector to procure lower carbon fuels, BNEF estimates that global low-carbon methanol projects could consume 1.65 million metric tons of clean hydrogen annually. Our commitment to helping farmers and customers lower their carbon footprint was front and centre of discussions, reflecting our dedication to sustainable practices to lower emissions throughout the entire supply chain. Inspired by the theme of thinking out of the box, this international event brought together 370 exhibitors showcasing the latest advancements in crop production and agricultural technology.
