Then you may be interested in checking this out: https://lnkd.in/eUsmEVh8 In my fully revised paper "Dynamism and Politics in EU Merger Control: The Perils and Promise of a Killer Acquisitions Solution Through a Law & Economics Lens" Forthcoming (subject to revisions) in the Antitrust Law Journal, I tell the story of why the 'repurposing' of Article 22 was not a great idea (in its current form, it is neither a 'simple' solution nor the silver bullet empowering the Commission to look at below-threshold mergers as it was hoped for) and that no matter how the Court rules, EU merger control will never be the same (were they to uphold or reject the new Article 22 approach, the Commission or Member States will react accordingly foreshadowing likely adjustments in the division of merger enforcement power previously existing). An air of change and 'coming of age' is surrounding EU merger control. Blending law, economics, political science and drawing on institutional economics scholarship and game theoretic insights, it shows why policy reforms regarding the EU merger framework have in the past and will in the future rest on politics and why institutional design and related past and future choices such as the EUMR's 'clear-cut' turnover thresholds rule or the discretionary and 'open-ended' upwards referral mechanism matter. To end on a positive note: the 'bad' will always invite a response and a return to the 'good' (or better). Let's see!
