If in a commercial context a construction contract effectively prohibits assignment of its benefit to a third party, a purported assignment is a nullity. May the would-be beneficiary of the failed assignment nonetheless still argue - if the facts support that view - that the original contract party has declared themselves a trustee of the benefit of that contract for them as beneficiary?
