Celebrating ISDA's 40th anniversary this year! The first ISDA documents sought to bring order to an emerging market that was struggling with a lack of standard-form documentation. Forty years on, the derivatives market has evolved beyond recognition, but standardisation of legal terms and documents remains critical. As noted by justice Briggs J in the English High Court in Lomas & Ors v JFB Firth Rixson Inc & ors [2010], the ISDA Master Agreement is “probably the most important standard market agreement used in the financial world”. D2LT is honoured to have one of the pioneers and principal authors of the ISDA Master Agreement, Jeffrey Golden KC (Hon), as senior advisor. In many respects this is the most important conference in crypto. I wish I were there. As Karolina mentions, what happens in the U.S. is critical. We need more U.S. banks working with their regulators to support and allow stable banking access for crypto-related businesses.

I had the honor of hosting a round table on the CSRD at the CF&B conference in Paris this Wednesday. It sparked interesting discussions with representatives from Rubis, represented by its head of investor relations, Clémence Mignot Dupeyrot; Euronext, represented by its Chief Revenue Officer and IR leader, Nicolas Meunier; and Scope, represented by its President, Marc Lefèvre. The consensus was that despite the challenges, the CSRD presents a unique opportunity for Europe and compels companies to consider their future direction. In addition, it will be impossible to ignore, as it will ultimately impact companies' valuations. The topic is so broad that the time was insufficient to delve into all the issues related to implementing this new directive. But we did our best! 📃The rules of operation of the company are usually established by the Articles of Association (#AoA). 💁♀️However, owners often conclude a shareholders' agreement (#SHA) that governs cost-sharing, decision-making, and more. 🧐Which document will prevail in case of disputes? 🤷♀️There is no unambiguous answer. 👉🏻In Punt v Symons, where a provision of the SHA limited the rights of a company, the court preferred the AoA because the company was not a party to the SHA and was a separate legal entity. 📌Conversely, in Salomon v Salomon, it was held that the company was bound intra vires, meaning that it was controlled by the owners, and the decision favored the SHA. ⚖️Therefore, courts can make different decisions. 💁♀️For the SHA to prevail, it is best to specify it in the AoA, which should also reflect the SHA's provisions. 🤔Did you consider this moment when approving the AoA? 🤝The Lextensio team will be happy to help you review the documents you have already signed to avoid potential problems in the future. ✍️ Artem Gordieiev
