Attached is a very recent, interesting Fifth Circuit decision addressing whether a contract to inspect and repair lifeboats on an oil platform located on the OCS is a maritime contract. In Palfinger Marine U S A v. Shell Oil Company, the Court reversed the district court’s determination that the contract was not maritime. The Fifth Circuit explained that the focus of the analysis, under the Doiron test, is on the contract and the expectations of the parties, and the role of the vessel should be viewed in light of what is considered classically maritime. The Court determined that the contract was maritime because (1) the nature and character of the contract supported offshore drilling and production, i.e., maritime commerce, and (2) a contract for the repair and maintenance of a vessel inevitably gives the vessel a substantial role. The Court reiterated the Supreme Court’s conceptual approach established in Kirby by focusing on whether the principal objective of the contract is maritime commerce. The Court reasoned that lifeboats are a required component of drilling and production, which is maritime activity, and that its previous line of decisions never required that the vessel(s) at issue be engaged in maritime commerce. #maritimecontracts #postdoironvoyage #expectations #classicallymaritime
