🔎 We have represented funds managed by Apollo in the acquisition of Evri, one of the UK’s largest parcel delivery companies, from Advent International on Luxembourg law aspects. Since relaunching as Evri in 2022, the company has grown to become a key leader in parcel delivery, with a strong national network purpose-built for third-party e-commerce parcels and a differentiated last-mile delivery model. Today, Evri reaches nearly every household in the UK and, on average, serves more than 12 million customers per week. The Evri transaction is expected to close in the third quarter of 2024. Blockchain Bill IV submitted to Parliament On 24 July 2024, the Luxembourg council of Ministers approved a new bill of Law: Blockchain Bill IV, which has the potential to significantly reshape Luxembourg's capital markets and fund industry. This bill would amend the current legislation dated 6 April 2013, to facilitate the use of distributed ledger technology (DLT) for the issuance, holding and transfer of dematerialised securities, including equity securities. Key proposed changes in the bill include: ◾ Overall corporate tax burden to be reduced from 24.94% to 23.87%; ◾ Subscription tax for ETF-UCITS to be reduced to 0%; ◾ Introduction of a 50% tax exemption on the gross annual compensation of impatriate employees – capped at €400,000; ◾ Increased allocation limits for the prime participative; ◾ New young employee bonus; ◾ Personal tax reliefs; ◾ SPF law changes.
