A&O Shearman doet mee aan de ALS City Swim!   Op zondag 8 september doen wij met 14 zwemmers van A&O Shearman Netherlands mee aan de ALS City Swim. We zwemmen 2.1 km door de Amsterdamse grachten om bewustwording te creëren voor de spierziekte ALS en geld in te zamelen voor Stichting ALS Nederland. Wij hebben op dit moment met onze groep al een mooi bedrag van € 4.071 ingezameld, maar elke extra bijdrage voor dit goede doel is welkom! We have had the privilege of advising Aggreko, a global leader in the provision of energy solutions, on their strategic acquisition of Resalta, a top-tier energy services provider in Central and Eastern Europe. Aggreko is a JV of TDR Capital and I Squared Capital. This acquisition is a testament to Aggreko's commitment to investing in renewable energy solutions and supporting customers through the energy transition. With Resalta's expertise in energy efficiency measures, this partnership is poised to accelerate sustainable energy solutions across the globe. We guided Waterland Private Equity through its strategic sale of Keylane to Pollen Street Capital, marking an important transaction in the European tech landscape. Keylane is a leading European provider of robust, configurable and customer-centric SaaS platforms for the insurance and pension industry. This strategic transaction represents an important milestone in Keylane's successful growth and innovation journey. Completion of the transaction is subject to completion of the works council consultation process and antitrust approval. The transaction is expected to close by autumn 2024. The team was led by Justin Steer and further consisted of Iradj Nazaryar, Caspar Roijers, Reinier van Doorn, Kiki Doeve, Chaima Azouagh, Erik-Jan Wagenvoort, Marleen van Putten, Philippe Gimbrère, Hanneke Bennaars, Eva Kluwen, Mi Rye van Gils, Kees Schillemans, Jochem de Kok and Marta Stagnaro. We are happy to announce our role in advising Waterland Private Equity on its strategic acquisition of Lebara Group, a prominent Mobile Virtual Network Operator. Lebara Group is renowned for delivering high-quality telecommunications services to a customer base exceeding four million across key European markets, including the UK, Netherlands, Germany, France, and Denmark. This acquisition marks a significant expansion for Waterland in the telecommunications sector.   The cross-border transaction was facilitated by a dedicated team led by Justin Steer. The corporate team further consisted of Nina Gans, David Jacobs, Bas Sanders, Octave Hustinx, Mateusz Maciejewski and Quirine Hoogenberg. Financing was led by Erik-Jan Wagenvoort and Luke Whibley, with support from Gijs Kerstjens and Mercedeh Naseri. Other key members of the team are Tom Levine, Pieter Huizing, Jochem de Kok, Hannah Smit, Rens Bondrager, Fyrone Denny, Marleen van Putten, Philippe Gimbrère and Lisanne Bosman. We advised OCI Global on the USD2.35 billion sale of its equity interests in its Clean Ammonia project to Woodside Energy Group Ltd. The Clean Ammonia project is the world’s first large-scale, low-carbon intensity hydrogen-based greenfield ammonia facility, expected to produce first ammonia in 2025. The project is under construction in Beaumont, Texas. A team led by Arnold Croiset van Uchelen, Justin Steer, and Vincent Doğan has successfully assisted the current largest equity holder in the restructuring of Fortenova Group, the leading employer and key player in the food and agri business in eastern Europe. This strategic step was essential to remove equity holders affected by Western sanctions, ensuring the company's ongoing operations and facilitating the refinancing of approximately EUR 1.2 billion in notes.   Despite the complexity and legal challenges posed by sanctioned stakeholders across multiple jurisdictions, our multidisciplinary team demonstrated expertise in corporate restructuring, litigation, sanctions, and merger control to achieve a groundbreaking outcome. Ons kantoor streeft naar een omgeving waar iedereen, ongeacht hun gender, sekse, seksuele voorkeur, genderidentiteit of -expressie, zich volledig geaccepteerd en gewaardeerd voelt. Om dit doel te behalen is inclusiviteit op het gebied van LGBTQIA+ essentieel. De afgelopen weken hebben we onze toewijding aan dit onderwerp gevierd tijdens de Queer & Pride weken, een periode vol met kleurrijke en betekenisvolle activiteiten binnen en buiten kantoor.   De Queer & Pride weken begonnen met het aansnijden van de Pride taart en een toespraak van onze partner Luke Whibley, die de toon zette voor de rest van de week. De beelden voor ons kantoor werden, zoals elk jaar, gehuld in regenboogtoga's en de progress vlag werd gehezen. Verder werden er gedurende deze weken verschillende activiteiten georganiseerd die niet alleen leuk waren, maar ook bijdroegen aan de inclusie en acceptatie van de LGBTQIA+ gemeenschap. Zo organiseerden we een pride high tea, een energieke Rocycle Pride Ride, een lunch om actuele onderwerpen op het gebied van LGBTQIA+ te bespreken met collega’s en een training over inclusief taalgebruik, verzorgd door Remco Boxelaar van Corporate Queer.   Het hoogtepunt van de viering was de Canal Parade op zaterdag. Het was een dag die niet alleen prachtig was door de festiviteiten, maar ook door de krachtige boodschap van eenheid die het uitdroeg. Met het thema 'Together' in gedachten, weerspiegelen deze activiteiten onze voortdurende inzet om een inclusieve cultuur op kantoor te bevorderen en een plek te creëren waar iedereen zich verbonden en gerespecteerd voelt. Diversiteit en inclusiviteit zijn thema’s die ons allen aangaan en ons verenigen in de viering van liefde, respect en de vrijheid om te zijn wie we (willen) zijn.

Our cross-border team successfully advised Bending Spoons on its strategic acquisition of WeTransfer, the renowned Dutch-founded digital file-sharing and collaboration platform with 80 million monthly active users.
