We advised Schumacher Packaging GmbH, one of Europe's largest manufacturers of customized corrugated and solid board packaging, in connection with the sale of its Polish subsidiaries to the Spanish Saica Group. The Polish operations of the Schumacher Group employ over 1,500 individuals and encompass two state-of-the-art corrugated board plants in Bydgoszcz and Wroclaw, two paper mills in Grudziadz and Myszkow, and three service centers. The completion of the transaction is subject to the fulfilment of customary conditions precedent. The Polish transactional team was led by Maciej Szykut, supervised by Jaroslaw. Iwanicki and supported by Pawel Grzesik. The wider team included Joanna Kaleta-Szykut, Kamil Jabłoński, Marcin Ziarkowski, Antoni Roszkowski, Mateusz Kwolek, Katarzyna Fus-Starzec, Julia Pytko, and Maria Kania. Justyna Ostrowska advised on the negotiations of the Transitional Services Agreement, and Aleksandra Deszyński provided anti-trust clearance advice. We advised OX2 on an agreement to sell a 99.2 MW onshore wind project in Romania to Nala Renewables, a joint venture between IFM Investors and Trafigura. This transaction, valued at SEK 2.48 billion (approximately EUR 214 million), is the first sale in Romania for OX2, which strengthens its position in this growing market. A wind farm project comprising 16 Vestas turbines is set to be constructed in Eastern Romania, with OX2 overseeing the build and subsequent management, including a 12-year power purchase agreement. The project, which begins construction in Q3 2024 and is expected to be operational by H1 2026, has secured grid access via Transelectrica. We advised NORD/LB, a leading energy transition bank, on a EUR109m financing spread across separate transactions for two large-scale solar farm portfolios in Poland that are being developed by GoldenPeaks Capital, one of the fastest-growing independent producers of green energy in Europe. The two portfolios consist of over 100 solar farms with a combined capacity of 177MW. The carbon-free electricity generated by the two portfolios will fulfil the energy needs of more than 12,000 households. Our joint Czech and Polish team advised Sona Asset Management as their local counsel on the acquisition of a 49% stake in CPI Project Invest and Finance, a.s. – a Czech holding company established by CPI Group, which owns 11 office properties in Warsaw and two retail assets in Elbląg and Lublin, respectively. The gross asset value of the portfolio exceeds EUR 1 billion. This transaction is a clear indicator of the strength and potential of the CEE real estate market, which is attracting substantial international investment. It demonstrates Sona Asset Management's commitment to establishing a robust presence in the region.
