The Climate Governance Initiative is a non-profit dedicated to mobilising boards to accelerate the transition to net zero and build climate resilience. We develop and support a global network that empowers and mobilises board directors on every continent to take climate action by enhancing their knowledge and skills in climate governance. We are a rapidly growing global network with Chapters in over 70 countries worldwide, reaching more than 100,000 chairs, non-executive and independent directors. The Climate Governance Initiative is developed in collaboration with the World Economic Forum and our work builds on the World Economic Forum’s Principles for Effective Climate Governance. The Initiative is hosted by the Centre for Climate Engagement, which is based at Hughes Hall, University of Cambridge.

There’s no kicking the can down the road. This week’s Financial Times ad created by Mother reminds us that the buck stops with us. For NEDs, understanding the impact of climate change and addressing it is their responsibility, says Chapter Zero Fellow Laurel Powers-Freeling. So, they must own it. She asks: does your board have both a clear understanding of the strategies required to not only firefight a sudden climate-induced operating problem, but also of what is required to shoulder the climate-driven longer-term risks and business opportunities? Or has a ‘grown-up’ decision been made to wait until push comes to shove? Until regulation makes it a ‘level-playing field’ and everybody takes the hit for the required investment in change? ❓ Are you a director, officer, lawyer or someone interested in understanding the legal requirements around managing climate risk ❓ If so, the 🗺️ 'Navigator on Directors' Duties: Climate Risk and Sustainability Disclosures' 🗺️ may be for you! This is the fourth edition of the previously-titled 'Primer on Climate Change: Directors' Duties and Sustainability Disclosures', authored by our 'small but mighty' team at the Commonwealth Climate and Law Initiative (CCLI) with support from lawyers around the world and in collaboration with the Climate Governance Initiative. ❓ Why use this resource ❓ 🌍 It's global: the Navigator covers 34 jurisdictions across the world, and has been drafted with input from leading lawyers and directors in each jurisdiction. 🌍 It's useful: It is an informative tool for directors and lawyers to understand the legal and regulatory context around climate change in their jurisdiction, and sets out key information informing how directors and officers manage climate-related risks. 🌍 It's comprehensive: the Navigator includes information on: 1️⃣ Government and regulatory approaches to climate change, including climate-related legislation and regulatory guidance; 2️⃣ #DirectorsDuties in relation to climate change, specifically how these duties and company and securities law frameworks require directors and officers to incorporate climate risk in corporate strategy, governance and management; 3️⃣ Sustainability and climate-related #disclosure requirements, both narrative and financial, and directors’ duties and responsibilities in relation to #disclosures; 4️⃣ #Liability risks, including #litigation risk, for companies directors and officers who fail to comply with the above; 5️⃣ Practical tips for directors; and 6️⃣ Biodiversity and #NatureRisk (in some jurisdictions). 🌍 It's consistent: under the new structure, every jurisdiction of the Navigator includes the same types of information, making it easier for directors on boards of companies in different countries or of multinational corporations to have easily comparable, reliable information.
