If you advise clients on M&A matters such as company sales and don’t have a tax department in your firm you (and your client) may have a problem. The tax clauses in the SPA will need to be reviewed to ensure the risk of unforeseen tax liabilities is fairly allocated between buyer and seller. This work requires a tax specialist to ensure your client is properly protected. Potential issues include: ➡ Time limits on notifying a claim ➡ What must be included in a claim ➡ Exclusions from claims ➡ Who takes charge of the conduct of any claim (always a hotly contested clause) ➡ What information must be included in the disclosure letter in respect of tax matters … and many other issues which are bespoke to each client. We regularly work alongside law firms as part of their team when their clients are selling companies to cover off the tax issues alongside the corporate work. Please do send me a DM if you would like to discuss. If you’re a woman in the M&A world please do come to the next March Women - Women in M&A hike which I am leading on Friday. Details below.
Our Autumn countryside hike for women in M&A is next week. Guests will don sturdy boots and embark on a 3 hour/10k loop through the countryside with a country pub lunch towards the end, before we finish back at Beaconsfield station. When we first ran this event in the Spring, we found that our members really valued the relaxed atmosphere and space for some quality, unrushed 1:1 time with each other. The fresh air and beautiful scenery is a lovely bonus.

Lessons from a Tuscan Retreat: Claiming Your Power and Sparkling At the bottom of the grand staircase in the Tuscan castle, I spotted a pair of high-heeled shoes, casually left behind. And it struck me—this wasn’t an old-fashioned fairytale. This wasn’t Cinderella losing her shoe, waiting for a prince to come and save her. These shoes belonged to women who were throwing off what didn’t serve them, stepping into their power, and celebrating all the more freely. These weren’t women waiting to be saved. They were women leading, creating, and claiming their own stories. That’s the energy we cultivated during the CEO With SOUL retreat. It wasn’t about waiting for something to happen—it was about creating it. It was about recognising our power, embracing what lights us up, and celebrating every step of the journey. By the end of the week, we weren’t just talking about our successes—we were dancing in sequins, sparkling inside and out, and reconnecting with what truly matters: joy, community, and purpose. So, as the year comes to a close, I invite you to reflect: What would it look like to throw off what’s holding you back? What would it feel like to celebrate yourself fully—not because someone else told you to, but because you’re claiming your power? If you want some encouragement to do just that, book a discovery call with me, or sign up for our newsletter to hear about next year’s events, including Tuscany in June 2025, Edinburgh, London, or online gatherings. Let’s step into your power together. #LessonsFromTuscany #WomenInBusiness #ClaimYourPower #CelebrateYourSuccess #LeadershipWithSoul #WomenSupportingWomen #CEOWithSoul

🔊 🔊 🔊 FOR OUR NEW COMMUNITY MEMBERS: ... Introducing Our Flagship Initiative to you: Woman and The Society Sessions #WATS / #watsSessions Our Woman and The Society sessions #WATS serve as a cornerstone of our mission at WTAL. These sessions enable us to scrutinize the multifaceted challenges women face in society through a resolute female-specific lens. These sessions foster thought-provoking dialogues on the existential hurdles, opportunities, and triumphs encountered by women on their paths to success despite the odds. Providing a platform for seasoned women leaders from diverse industries, our sessions feature lectures, talks, debates, and discussions tackling social issues confronting women. We meticulously curate esteemed women speakers, representative of our society’s diversity, to lead these conversations. Our aim is to inspire women to listen, learn, and engage in discourse, facilitating a convergence of perspectives and opinions to drive initiatives aimed at improving the situation around the discussed themes. Additionally, we aspire to: a) Increase awareness of the spotlighted issues and instill/improve a sense of community involvement and responsibility. b) Create an additional platform for women to utilize their voices for societal development. The themes of all the conversations are derived from surveys collected within the female community. Every woman interested in being part of highlighting societal challenges and the dialogue towards change is encouraged to complete the surveys that guide the themes of our events. This initiative underscores WTAL’s commitment to community inclusivity and representation. We take pride in being socially driven, socially led, and socially resolved. We are halfway through the year and have yet to hit our 3,000-participant survey mark. Therefore, we invite you to complete our survey to ensure that #WATS continues to deliver value to and for all of us. By the end of 2024, we aim to be armed with ample information to plan another year of meaningful events. We are excited to hear from you and build on the catalog we are developing for next year. Let's talk about the elephant in the luxury hotel ballroom: these so-called "women's empowerment events" that cost more than most women make in a week. You know the ones, high teas with designer cupcakes, networking brunches with three-figure tickets, and conferences where the price of admission could feed a family for a month. Now,here’s what bothers me to my core: We're packaging privilege as empowerment. When your "empowerment event" is only accessible to women who are already empowered, you're not lifting anyone up, you're just building a prettier penthouse on top of an existing tower. I recently asked women about their experiences at these events. The responses were telling: vague platitudes, recycled motivational quotes, and business cards exchanged over champagne. But where's the tangible impact? Where are the stories of women whose lives were genuinely transformed? The brutal truth? These events aren't designed for the women who need empowerment most: - Not for the single mother working two jobs - Not for the ambitious young woman from an underserved community - Not for the immigrant professional struggling to break into her field - Not for the countless women fighting daily battles against systemic barriers Instead, we've created an echo chamber of success stories talking to other success stories, while the women who could truly benefit from mentorship, resources, and opportunities remain locked outside, their faces pressed against the glass ceiling we claim to be shattering and peeping over the walls of your social media pages. Real empowerment isn't a ticket you can purchase. It's not a motivational speech in a five-star hotel. It's not a selfie with a successful CEO. Real empowerment is about creating accessible pathways to success, providing tangible skills, and offering concrete opportunities to women across all socioeconomic backgrounds. If you're organising these events, I challenge you to OPEN YOUR DOORS. Create scholarship programs. Take your wisdom to the communities that need it most. Stop hiding transformation behind a paywall. Because right now? We're not empowering women. We're selling exclusivity and calling it elevation. #Womeempowerment #TopWomen #Eventorganisers #Careerpaths #Glassceilings
